1. Your access to and use of easySchools
Your access to and use of the easySchools website, platform, online ordering system, hosted pages, applications and related services constitutes your agreement to these Terms and Conditions.
If you do not agree with these Terms and Conditions, you must not access or use easySchools.
2. Sale Transactions
2.1 You acknowledge and agree that:
(a) easySchools acts as a platform and conduit for the ordering and purchase of your school’s eCommerce items and services;
(b) Stellar Spark Pty Ltd is not involved in the actual production, preparation, supply, fulfilment, delivery or collection of the eCommerce items and services, unless expressly stated otherwise;
(c) your school, supplier, provider or relevant third party is responsible for the availability, production, preparation, supply, fulfilment, delivery, collection and quality of the eCommerce items and services offered through easySchools; and
(d) to the extent permitted by law, Stellar Spark Pty Ltd makes no warranties or representations in relation to:
(i) the availability, suitability, quality, safety, legality or fitness for purpose of any eCommerce items or services advertised or made available through easySchools;
(ii) the accuracy, completeness or truth of any advertising, description, menu, product listing, service listing, nutritional information, pricing or other information supplied by your school, supplier or provider and displayed through easySchools; and
(iii) the ability of your school, supplier or provider to produce, provide, fulfil, deliver, substitute, cancel or otherwise complete an order placed through easySchools.
2.2 By placing an order for eCommerce items or services through easySchools, you agree to be bound by these Terms and any applicable terms of sale, policies, rules, refund policies, delivery arrangements or collection arrangements specified by your school, supplier or provider.
2.3 Only persons who are at least 18 years of age may place an order or purchase eCommerce items or services through easySchools. If a student or minor uses easySchools, they must do so only with the consent and supervision of a parent or guardian.
3. Account, Username and Password
3.1 You are responsible for maintaining the confidentiality and security of your username, password and account access details.
3.2 You must not disclose your username, password or account access details to any other person.
3.3 You are responsible for all activity that occurs through your account, except to the extent caused by our negligence, fraud or wilful misconduct.
3.4 You must notify us immediately if you become aware of any unauthorised use of your account or any other security breach.
4. Orders
4.1 We may issue you an order confirmation, receipt, transaction reference or Order ID when you place an order through easySchools.
4.2 You must retain your order confirmation, receipt, transaction reference or Order ID for future reference.
4.3 You must not disclose your Order ID or transaction details to any person except where reasonably necessary to resolve an order issue with your school, supplier, provider, payment provider or us.
4.4 Questions, complaints or disputes relating to the production, preparation, supply, fulfilment, delivery, collection, substitution, cancellation, refund or quality of an eCommerce item or service may be directed to your school, supplier or provider.
4.5 We may assist by directing your query, complaint or dispute to your school, supplier or provider, but we are not responsible for resolving disputes relating to goods or services supplied by your school, supplier or provider.
5. Fees, Charges and Payment
5.1 You must pay all fees, charges and prices applicable to the eCommerce items or services that you purchase through easySchools.
5.2 Unless indicated otherwise, fees and charges are stated in Australian dollars and include GST where applicable.
5.3 Payment must be made in advance using the payment methods made available through easySchools.
5.4 Payments may be processed by third-party payment providers. You agree to comply with any applicable payment provider terms and conditions.
5.5 Stellar Spark Pty Ltd does not store your full credit card or debit card details on its own systems.
5.6 If payment is declined, reversed, charged back, cancelled or otherwise not completed, your order may be cancelled.
5.7 Your school, supplier or provider may determine refund, cancellation, delivery, collection and substitution policies for particular eCommerce items or services, subject to any rights you may have under applicable law.
6. Limiting, Suspension and Cancellation of Access
6.1 We may suspend, limit or cancel your access to easySchools if:
(a) you breach these Terms;
(b) we reasonably suspect unauthorised, fraudulent, unlawful, abusive or improper use of easySchools;
(c) we are required to do so by law, a regulator, a payment provider or a school;
(d) continued access may compromise the security, integrity or operation of easySchools; or
(e) your school no longer uses easySchools or no longer authorises your access.
6.2 Where reasonable and practical, we may provide notice and an opportunity to rectify a breach before suspending or cancelling access.
6.3 You acknowledge that suspension or cancellation of your access may make your username and password inoperative and may prevent you from placing further orders through easySchools.
7. Nutrition, Allergy and Health Information
7.1 You acknowledge that nutritional, ingredient, allergen and health-related information about tuckshop items, food items or other eCommerce items may be supplied by your school, supplier or provider.
7.2 Stellar Spark Pty Ltd does not independently verify all nutritional, ingredient, allergen or health-related information displayed through easySchools.
7.3 To the extent permitted by law, Stellar Spark Pty Ltd makes no warranties or representations about the accuracy, completeness or currency of nutritional, ingredient, allergen or health-related information supplied by your school, supplier or provider.
7.4 Information displayed through easySchools is provided for general information only and does not constitute medical, dietary or health advice.
7.5 If you or a student has allergies, intolerances, dietary requirements or health concerns, you should confirm relevant information directly with your school, supplier, provider or a qualified health professional before placing an order.
8. Uncontrolled Events and Platform Limitations
8.1 To the extent permitted by law, Stellar Spark Pty Ltd is not liable for:
(a) any delay in providing easySchools or any part of the Service;
(b) any fault, error, interruption, outage, congestion, maintenance, repair or unavailability affecting easySchools;
(c) any delay in correcting a fault, error, interruption or outage;
(d) failure, incorrect operation or reduced functionality of easySchools;
(e) any delay or failure by your school, supplier or provider to respond to a query, complaint or dispute;
(f) cancellation of an order by your school, supplier or provider;
(g) delay, non-delivery, non-collection, substitution, unavailability or change to an order by your school, supplier or provider;
(h) any failure by you to complete the ordering or payment process correctly;
(i) inaccurate, incomplete or incorrect descriptions, prices, nutritional information, allergen information, product information or service information supplied by your school, supplier or provider;
(j) the availability, quality, safety, suitability, longevity, legality or other issue relating to an eCommerce item or service supplied by your school, supplier or provider; or
(k) any event or circumstance reasonably beyond our control, including internet failures, hosting failures, payment provider issues, cyber incidents, power failures, natural disasters, strikes, government actions or acts of third parties.
9. Technical and Operational Security
9.1 We will take reasonable steps to maintain the integrity, availability and security of easySchools.
9.2 You acknowledge that no website, application, platform, hosting environment, payment system or online service can be guaranteed to be completely secure or uninterrupted.
9.3 You must not misuse easySchools, attempt to gain unauthorised access, introduce malicious code, interfere with the operation of easySchools, scrape or copy data without permission, or use easySchools for any unlawful or improper purpose.
10. Privacy
10.1 We may collect, hold, use and disclose personal information in connection with the operation of easySchools, including information such as your name, student name, school name, class or year level, contact details, order details, payment status and account information.
10.2 We do not store your full credit card or debit card details on our own systems.
10.3 We may collect, use and disclose personal information for purposes including:
(a) providing, operating, maintaining and improving easySchools;
(b) enabling orders, payments, confirmations, receipts, delivery, collection and support;
(c) communicating with you, your school, suppliers, providers and payment providers;
(d) performing our obligations under these Terms;
(e) assisting with queries, complaints, disputes, refunds, chargebacks and account management;
(f) complying with legal, regulatory, accounting, tax, security and record-keeping obligations;
(g) detecting, preventing and responding to fraud, misuse, technical issues or security incidents;
(h) disclosing relevant information to your school, supplier or provider for order fulfilment and administration; and
(i) any other purpose described in our Privacy Policy.
10.4 We may disclose personal information to:
(a) your school;
(b) suppliers, service providers or providers involved in fulfilling orders or services;
(c) payment processors and payment service providers;
(d) technology, hosting, support, communications and administration service providers;
(e) professional advisers;
(f) law enforcement agencies, regulators, courts, tribunals or government authorities where required or permitted by law; and
(g) any other person or organisation described in our Privacy Policy or authorised by you.
10.5 Our Privacy Policy is available on the easySchools website or by contacting us.
11. Australian Consumer Law and Liability
11.1 Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or protection that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.
11.2 To the extent permitted by law, Stellar Spark Pty Ltd and your school exclude all terms, conditions, warranties, undertakings, inducements and representations, whether express, implied, statutory or otherwise, relating to easySchools and the Service.
11.3 To the extent permitted by law, Stellar Spark Pty Ltd is not liable to you or any third party for any direct, indirect, incidental, special, consequential or economic loss, damage, cost or expense arising out of or in connection with:
(a) your access to or use of easySchools;
(b) your inability to access or use easySchools;
(c) an order placed through easySchools;
(d) the acts, omissions, goods or services of your school, supplier or provider;
(e) errors, omissions or inaccuracies in information supplied by your school, supplier or provider; or
(f) any unauthorised access, data loss, system failure or service interruption, except to the extent caused by our negligence, fraud or wilful misconduct.
11.4 To the extent permitted by law, where our liability cannot be excluded, our liability is limited, at our option, to:
(a) the resupply of the relevant Service; or
(b) the cost of resupplying the relevant Service.
11.5 You indemnify Stellar Spark Pty Ltd from and against all actions, claims, demands, liabilities, losses, damages, costs and expenses arising out of or in connection with your use of easySchools in breach of these Terms, your unlawful conduct, your misuse of the Service, or your infringement of any rights of another person.
12. Intellectual Property
12.1 All intellectual property rights in easySchools, including the website, platform, software, design, layout, text, graphics, logos, icons, databases, source code, object code, trade marks, branding and related materials, are owned by or licensed to Stellar Spark Pty Ltd.
12.2 You must not copy, reproduce, modify, adapt, distribute, reverse engineer, decompile, publish, transmit, sell, licence or exploit any part of easySchools without our prior written consent, except as permitted by law.
12.3 You may use easySchools only for its intended purpose of accessing school-related ordering, payment, communication or eCommerce services made available to you.
13. Changes to These Terms
13.1 We may update these Terms from time to time.
13.2 The updated Terms will apply from the date they are published on the easySchools website or platform.
13.3 Your continued use of easySchools after updated Terms are published constitutes your acceptance of the updated Terms.
14. General
14.1 These Terms are governed by the laws of New South Wales, Australia.
14.2 You submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia.
14.3 If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue in full force and effect.
14.4 A failure or delay by us in exercising a right under these Terms does not constitute a waiver of that right.
14.5 These Terms, together with any applicable policies, notices and order terms displayed through easySchools, constitute the agreement between you and Stellar Spark Pty Ltd regarding your use of easySchools.
15. Defined Terms
In these Terms:
easySchools means the easySchools website, platform, hosted pages, applications, ordering system and related services operated or provided by Stellar Spark Pty Ltd.
Stellar Spark Pty Ltd, we, us or our means Stellar Spark Pty Ltd ABN 88 687 130 089.
Hosted Website means any website, webpage, portal, hosted ordering page or online environment through which easySchools is made available.
School means the school, educational institution, school community organisation, authorised representative, supplier or provider that makes eCommerce items or services available through easySchools.
eCommerce items or services means any items, products, goods, services, payments or offerings made available through easySchools, including but not limited to tuckshop items, uniforms, school store items, event items, fundraising items, fees, digital items and other school-related goods or services.
Service means the service by which you access and use easySchools for the purpose of viewing, ordering, purchasing, paying for or managing eCommerce items or services.
Terms means these Terms and Conditions.
you or your means the user of easySchools, including a parent, guardian, student, staff member or other authorised user.
